Pre-Fund investments (including Prime Visibility Media Group, FreightWatch International and MicroMass Communications Inc.) were made by separate vehicles with different economic terms, fees and expenses and were not managed as a single portfolio or investment fund with coordinated objectives, guidelines and restrictions.

Periscope has developed both an Operations team and a group of Operating Partners. The title “Operating Partner” is not intended to indicate that a team member with this title is a partner, principal or employee of Periscope or any Periscope fund or other affiliate. Operating Partners provide expertise to Periscope and its portfolio companies. Members of the Operations team and Operating Partners (collectively, “Operations Professionals”) generally assist Periscope in its operational due diligence and provide other transactional support for prospective and consummated transactions and assist Periscope in its post-closing operating and other initiatives for portfolio companies. While the Operations team members are employees of Periscope, Operating Partners are third-party independent contractors. The compensation of Operations Professionals is generally borne by portfolio companies and/or Periscope -sponsored funds without any offset to management fees paid to Periscope by such funds, but, from time-to-time, certain of such Operations Professionals provide services to and/or receive compensation, benefits or other resources from Periscope. The level and type of such compensation borne by the portfolio companies and/or the funds, on the one hand, and by Periscope, on the other hand, is expected to vary.

Testimonials and endorsements reflect Periscope’s and portfolio company management’s opinions and beliefs regarding the company and the investment. Such opinions and beliefs are subjective, do not represent a complete assessment of the company, the market or Periscope’s overall investment performance and cannot be independently verified.  Such statements are being offered as references for purposes of demonstrating the benefits of working with the Periscope team and not for the purpose of soliciting investors. Portfolio company executives receive/received a salary and economics from the portfolio company. No executives were paid for their testimonial or endorsement. There is a conflict of interest in these unpaid testimonials and endorsements in that all speakers stand to benefit from Periscope’s success and they work/worked for a Periscope portfolio company.

These links are provided as a convenience and do not imply Periscope’s sponsorship or approval of any of these websites or their content.
